In order to improve the functions of the board of directors, strengthen corporate governance and implement corporate social responsibility, the board of directors appointed independent directors Chan Hsin-I, Wen Miao-Hsin, Liu Shui-En and Shao Chien-Hua as members of the second sustainable development and nomination committee on May 29, 2025.
In accordance with the organizational charter of the sustainable development and nomination committee, the environmental protection group, social responsibility group, corporate governance group, green business group, accounting function group and risk management group were established.
The Company’s Sustainability Committee held a meeting on November 13, 2024, and resolved to appoint General Manager Tsai Neng-chi as the Sustainability Director in accordance with the Company’s organizational rules.
The board of directors of the company regularly listens to the report of the Sustainable Development & Nominating Committee (including ESG report) every six months, and reviews the sustainable development strategy, guidelines, goals and action plans and gives adjustment suggestions for the management team to make adjustments.
The company will convene the Sustainable Development & Nominating Committee on May 13 and November 13, 2025, and submit the meeting conclusions to the board of directors on May 13 and November 13.


1.Formulate, promote and strengthen the company’s sustainable development policies, annual plans and strategies.
2.Review, track and revise the implementation and effectiveness of sustainable development.
3.Supervise the disclosure of sustainable information and review the sustainability report.
4.Supervise the implementation of the company’s sustainable development code of conduct or other sustainable development-related work resolved by the board of directors.
5.Evaluate the standards of professional knowledge, technology, experience, gender and other diversified backgrounds and independence required by directors, and review and nominate director candidates based on them.
6.Build and develop the organizational operation of the board of directors and its committees, plan and implement the performance evaluation of the board of directors and committees, and evaluate the independence of independent directors.
7.Regularly review the director training plan.
